Election of new board directors and dividends distribution

•    Election of a new Board of Directors by consensus for the 3 coming financial years, starting 19/5/2012, as follows:

-    Sheikh Khaldoun Barakat
-    Libya Insurance Company
-    L'Union Nationale
-    Gulf Insurance Company
-    Misr Insurance Company
-    Tunis Reinsurance Company
-    Saudi  For Trading Establishment
-    Compagnie Centrale de Rèassurance – Algeria
-    Iraq Reinsurance Company
Sheikh Khaldoun Barakat was elected as President of the Board of Directors, Mr. Tannous Feghali as Vice-President, and Mr. Salim Kojok as Secretary to the Board.
•    Nomination of an internal audit committee for the financial period (2012-2015) composed of:

1.    Sheikh Khaldoun Barakat        President
2.    Mr. Tannous Feghali        Member
3.    Mr. Khaled El Hassan        Member

•    Distribution of 5% of the paid-up capital as dividends to the company's shareholders as at 31/12/2011.

•    Appointment of the independent auditor PricewaterhouseCoopers to audit the company's accounts for year 2012.
